Applies to: Zyntriq Dispatch, a dispatch and scheduling platform for field operations, together with its associated website, applications, and dashboards (the “Service”).
These Terms of Service (“Terms”) form a binding agreement between you (“User,” “Customer,” or “you”) and Motus Labs LLC governing your access to and use of Zyntriq Dispatch (the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
Zyntriq Dispatch is a dispatch and scheduling platform that helps field-service businesses assign jobs, route technicians, track schedules, and coordinate dispatch operations. Motus Labs may add, modify, or discontinue features of the Service at any time, with notice as described in Section 16 where the change is material.
You must be at least 18 years old and capable of forming a binding contract to create an account or use the Service.

Violation of this Section may result in immediate suspension or termination under Section 13.
Motus Labs targets high availability for the Service but does not guarantee uninterrupted or error-free operation. Where a specific Service Level Agreement (“SLA”) is set out in an order form or enterprise agreement, that SLA governs uptime commitments and service credits. In the absence of a separate SLA:
Motus Labs retains all right, title, and interest in and to the Service, including all software, models, documentation, and trademarks. Subject to your compliance with these Terms, Motus Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You retain ownership of data you submit to the Service (“Customer Data”), subject to the license you grant us to process it in order to provide the Service.
The Service may integrate with or rely on third-party providers, including cloud hosting, database, mapping/routing, and messaging/notification infrastructure providers. Your use of those integrations may be subject to the third party’s own terms. Motus Labs is not responsible for the acts, omissions, availability, or policies of third-party providers, except as expressly stated in a signed enterprise agreement.
The Service, including AI-generated dispatch and routing recommendations, is provided subject to the Disclaimer for Zyntriq Dispatch, which is incorporated into these Terms by reference.
To the maximum extent permitted by law: (a) Motus Labs will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or relating to the Service; and (b) Motus Labs’ aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees you paid to Motus Labs for the Service in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify, defend, and hold harmless Motus Labs, its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service in violation of these Terms; (b) Customer Data you submit; or (c) your violation of any law or third-party right.
Each party agrees to protect the other’s non-public business, technical, and financial information disclosed in connection with the Service using at least a reasonable standard of care, and to use it only to perform under these Terms.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction and venue of the state or federal courts located in Wyoming, and each party consents to personal jurisdiction there.
We may update these Terms from time to time. Material changes will be communicated by posting an updated version with a new effective date and, where required by law or where changes are materially adverse, by direct notice (e.g., email) at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
